Terms of Service

Important: Please read these Terms carefully before using MagicBill. By creating an account or using any part of the service, you agree to be bound by these Terms. If you do not agree, do not use MagicBill.

1. About MagicBill

MagicBill ("we", "us", "our") operates the invoice generation and management platform available at www.magicbill.co.uk. These Terms govern your access to and use of MagicBill.

2. Eligibility

You must be:

  • At least 18 years old
  • Using MagicBill for lawful business purposes
  • Capable of entering into a legally binding contract

By using MagicBill you confirm you meet these requirements. We reserve the right to terminate accounts that do not comply.

3. Subscription Plans & Pricing

MagicBill offers the following plans:

All prices are in GBP (£). Prices are exclusive of VAT where applicable. We reserve the right to change prices with at least 30 days' written notice to existing subscribers.

4. Free Trial & 14-Day Cooling-Off Period

Under the Consumer Contracts Regulations 2013, you have the right to cancel any paid subscription within 14 days of your first payment and receive a full refund — no questions asked.

To exercise this right, email us at hello@magicbill.co.uk within 14 days of purchase stating your account email and the subscription you purchased. We will process your refund within 14 calendar days.

After the 14-day cooling-off period, cancellations take effect at the end of the current billing cycle. We do not offer pro-rata refunds for partial months or years after the cooling-off period has expired, except where required by law.

5. Billing & Auto-Renewal

  • Billing date: Your subscription is billed on the day you sign up and renews on the same date each month or year.
  • Auto-renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
  • Renewal reminders: We will send you an email reminder at least 7 days before each renewal, confirming the renewal date, the amount to be charged, and how to cancel.
  • Failed payments: If payment fails, we will retry up to 3 times. If payment cannot be collected after that, your account will be downgraded to the Free plan until payment is resolved.
  • Payment processing: All payments are processed by Stripe. MagicBill never stores your card details. Stripe's terms apply to payment processing.

6. Cancellation

You may cancel your subscription at any time by visiting Dashboard → Billing → Manage Billing. Cancellation takes effect at the end of your current billing period. You will retain full access to paid features until that date.

After cancellation, your account is downgraded to the Free plan. Your data (invoices, clients, expenses) is retained for 30 days to allow export. After 30 days, data beyond the Free plan limits may be removed. Invoice records subject to the 6-year legal hold will be retained as required by UK law.

We may cancel your subscription immediately (without refund) if you breach these Terms, engage in fraudulent activity, or use MagicBill for any unlawful purpose.

7. Acceptable Use

You agree not to use MagicBill to:

  • Create or send fraudulent, fictitious, or misleading invoices
  • Engage in tax evasion, money laundering, or other financial crimes
  • Upload malware, viruses, or malicious code
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Scrape, harvest, or copy MagicBill's platform or underlying technology
  • Resell or white-label MagicBill without written permission
  • Violate any applicable UK, EU, or international law or regulation

We reserve the right to suspend or terminate your account immediately if we detect prohibited use, without prior notice.

8. Your Data & Intellectual Property

You own your data. All invoices, client data, expenses, and receipts you create or upload remain your property. MagicBill does not claim any ownership over the content you generate using the service.

By using MagicBill, you grant us a limited, non-exclusive licence to store, process, and display your data solely for the purpose of providing the service to you.

MagicBill owns its platform. The MagicBill software, design, brand, templates, and underlying technology are our intellectual property. You may not copy, reproduce, or create derivative works from any part of MagicBill without our written consent.

9. Team Accounts (Business Plan)

Business plan subscribers may invite up to 3 team members to access their account.

  • The account owner is solely responsible for all activity by team members
  • Team members must accept these Terms upon joining
  • Team members share access to the owner's invoices, customers, and settings
  • The account owner can remove team members at any time
  • Team member access ends immediately if the account is downgraded from Business

10. Service Availability

We aim to provide a reliable service but do not guarantee 100% uptime. Scheduled maintenance will be announced where possible. We are not liable for losses caused by downtime, data loss, or service interruption beyond our reasonable control.

We reserve the right to modify, suspend, or discontinue any feature of MagicBill at any time. For material changes, we will provide at least 30 days' notice by email.

11. Limitation of Liability

To the fullest extent permitted by UK law, MagicBill's total liability to you for any claim arising out of or relating to these Terms or the service is limited to the total amount you paid to MagicBill in the 12 months preceding the claim.

MagicBill is not liable for:

  • Loss of profits, revenue, or business opportunity
  • Loss or corruption of data (beyond what was caused by our gross negligence)
  • Indirect, incidental, or consequential damages of any kind
  • Errors in invoices or financial documents you create using MagicBill
  • Actions of third-party processors (Stripe, Supabase, Resend)

Nothing in these Terms excludes or limits our liability for fraud, gross negligence, death or personal injury caused by our negligence, or any liability that cannot be excluded under the Consumer Rights Act 2015 or other applicable UK law.

12. Indemnity

You agree to indemnify and hold MagicBill harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of MagicBill after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you should cancel your account before they come into effect.

14. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in these Terms affects your statutory rights as a consumer under UK law, including under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013.

We aim to resolve all complaints quickly and fairly. If you have a dispute, please contact us first at hello@magicbill.co.uk. If we cannot resolve it, you may refer the matter to an approved Alternative Dispute Resolution (ADR) scheme.
